Terms and Conditions for Qualified Reporting Entity Services

1. Definitions

  • QRE (Qualified Reporting Entity): An entity approved by WREGIS to report generation data on behalf of a Generator Owner.

  • WREGIS: Western Renewable Energy Generation Information System

  • Generator Owner: The Customer who owns or operates the renewable energy facility.

  • REC (Renewable Energy Certificate): A certificate representing the environmental attributes of one megawatt-hour of renewable energy generation.

2. Anvil Scope of Services

  • Anvil will:

    • Act as the QRE for the Generator Owner’s registered generating units.

    • Collect, validate, and submit generation data to WREGIS in accordance with WREGIS Operating Rules.

    • Ensure timely reporting of monthly generation data within WREGIS deadlines.

    • Assist with data corrections and disputes as needed.

3. Customer Responsibilities

  • The Generator Owner must:

    • Ensure all generating units are properly registered with WREGIS and have revenue grade metering as required by WREGIS

    • Provide accurate and complete metering data and access to necessary systems.

    • Properly maintain and calibrate metering equipment to ensure continued data accuracy.

    • Notify Anvil of any changes to facility operations or metering configurations.

    • Review and approve submitted data within WREGIS timelines.

4. Data Submission and Validation

  • Anvil will submit generation data within 60 business days following the end of each generation month or as specified by WREGIS Operating rules, barring any metering issues

  • Generator Owners must review and approve data within 10 business days of WREGIS acceptance

  • Disputes must be raised within 10 business days of data acceptance.

5. Fees and Payment

  • Fees for QRE services will be outlined in a separate agreement or invoice.

  • Payment terms are net 30 days from invoice date unless otherwise agreed upon.

6. Term and Termination

  • This agreement remains in effect for the term specified in the quote or invoice provided to the Customer

  • After the initial term, this agreement auto renews on an annual basis unless terminated by either party with 30 days written notice.

  • Anvil or Customer may terminate the agreement immediately for breach of terms or failure to provide necessary data.

7. Confidentiality

  • Both parties agree to maintain the confidentiality of proprietary data and information exchanged under this agreement.

8. Limitation of Liability

  • Anvil shall not be liable for any consequential, indirect, incidental, special, exemplary, punitive, or enhanced damages, lost profits or revenues, or diminution in value.

  • Anvil’s aggregate liability shall not exceed the total amount paid by the Customer for the QRE services.

9. Compliance

  • Both parties agree to comply with all applicable WREGIS Operating Rules and regulatory requirements.

10. Dispute Resolution

  • Any disputes will be resolved through good faith negotiations. If unresolved, disputes may be escalated to WREGIS or resolved through arbitration.

  • These terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA.

11. Data Usage

  • The Customer grants Anvil the right to collect, use, and analyze data related to the Customer's energy

  • Anvil may use this data to improve its products and services, conduct research, and for other business purposes.

  • Anvil will ensure that any data used for these purposes is anonymized and aggregated to protect the Customer's privacy.

  • The Customer may request access to their data and may opt-out of data collection by contacting Anvil Customer Support.

12. Force Majeure

  • 12.1 Definition of Force Majeure Events

Neither party shall be deemed to have breached any provision of this Agreement as a result of any delay, failure in performance, or interruption of service resulting directly or indirectly from:

a. Natural Events: Acts of God, fires, floods, earthquakes, hurricanes, storms, or other natural disasters;

b. Infrastructure and Technology Failures:

  • WREGIS system outages, maintenance, or technical failures

  • Network failures, internet service interruptions, or telecommunications outages

  • Third-party metering equipment failures or communication system disruptions

  • Power grid failures or utility outages affecting data collection systems

c. Human and Governmental Actions:

  • Acts of civil or military authorities, government orders, or regulatory changes

  • Wars, terrorism, civil disturbances, riots, or embargoes

  • Labor strikes or disputes affecting critical infrastructure or services

  • Changes in WREGIS Operating Rules or procedures that prevent performance

d. Other Circumstances Beyond Reasonable Control:

  • Cyber attacks, security breaches, or malware affecting systems

  • Pandemic or public health emergencies restricting operations

  • Any other occurrences beyond the claiming party's reasonable control that cannot be overcome through the exercise of due diligence
